Terms of Service
1. Acceptance of terms
By accessing or using the Accorata platform ("Service"), you agree to these Terms of Service ("Terms"). If you don't agree, you can't access or use the Service. These Terms are a legally binding agreement between you and Accorata AG, a company incorporated under Swiss law ("Accorata," "we," "us," or "our").
2. Description of service
Accorata provides an autonomous deal intelligence platform for early-stage venture investors. The Service includes automated deal sourcing, document parsing, AI-generated investment memos, CRM integration, and related features described on the platform and in our product documentation.
Access is currently on an invitation-only basis during our private beta. We reserve the right to modify, suspend, or discontinue any feature at any time.
3. Accounts and access
You need an account to use the Service. You're responsible for keeping your credentials confidential and for all activity that occurs under your account. Notify us immediately if you suspect unauthorised use. You can't share access credentials or let third parties into your account.
We can suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or use the Service in a way that damages Accorata or third parties.
4. Permitted use
The Service is for lawful investment research and deal management within your organisation. You can't: (a) reverse-engineer or try to extract the source code of the Service; (b) scrape or systematically extract data beyond normal usage; (c) use the Service to process personal data in violation of applicable privacy laws; (d) resell or sublicense access without our prior written consent.
5. Intellectual property
All rights in the Service, including software, design, documentation, and AI models, belong to Accorata AG. These Terms don't give you any ownership interest in the Service. You keep ownership of data you upload to the platform, subject to the processing rights we describe in the Privacy Policy.
6. AI-generated content
The Service uses AI to generate investment memos, summaries, and analyses ("AI Output"). AI Output is for informational purposes only. It isn't financial advice, investment recommendations, or professional services of any kind. You're solely responsible for investment decisions you make based on AI Output. We don't guarantee that AI Output is accurate, complete, or current.
7. Fees and payment
Subscription fees are billed in advance, monthly or annually depending on your plan. Annual subscriptions include two months free relative to the monthly rate. Fees are non-refundable except where required by applicable law. We can update our pricing with 30 days' notice to active subscribers.
8. Limitation of liability
To the maximum extent permitted by applicable law, Accorata AG and its officers, directors, employees, and agents won't be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service. Our total liability for any claim arising from these Terms or the Service won't exceed the fees you paid to Accorata in the three months before the claim.
9. Governing law and jurisdiction
These Terms are governed by Swiss law, without regard to conflict of law provisions. Disputes arising from these Terms or the Service are subject to the exclusive jurisdiction of the courts of Zurich, Switzerland. If you're a consumer resident in the EU, you keep the benefit of mandatory consumer protection provisions in your country of residence.
10. Changes to terms
We may update these Terms at any time. Material changes will be communicated to active subscribers via the platform or email at least 14 days before they take effect. Continuing to use the Service after changes take effect means you accept the revised Terms.
